Terms of Service

1. Acceptance of Terms

By accessing or using Re:Gaia Online ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

2. Eligibility

You must be at least 16 years of age to use the Service. If you are between 16 and 18 years of age (or the age of majority in your jurisdiction), you must have parental or legal guardian consent. By using the Service, you represent and warrant that you meet these requirements.

3. Description of Service

Re:Gaia Online is a location-based mobile application that allows users to explore real-world locations, complete quests, collect virtual items, interact with other players, and engage with local merchants through a gamified loyalty and commerce platform. The Service operates across two primary user roles — Players and Merchants — and includes in-store branch/kiosk functionality.

4. User Accounts

4.1 Account Creation

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during the registration process.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4.3 Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion, including but not limited to inactivity, fraudulent activity, or harmful behavior toward other users or merchants.

5. Usernames, Display Names, and Merchant Handles

5.1 Name Selection

You may choose a display name (Players) or a unique handle (Merchants) during account setup. You agree that your chosen name or handle will not:

  • Infringe on any trademark, service mark, or intellectual property rights of any third party
  • Impersonate or misrepresent affiliation with any person, business, brand, organization, government entity, or public figure
  • Be misleading, deceptive, or likely to cause confusion with established brands, businesses, or institutions
  • Contain offensive, vulgar, or discriminatory language in any language
  • Be registered primarily for the purpose of reselling, trading, or profiting from the name itself

5.2 Name Reclamation and Reassignment

We reserve the right, at our sole discretion, to reclaim, reassign, or require changes to any username, display name, or merchant handle at any time, without prior notice, if we determine that:

  • The name infringes or is confusingly similar to a registered trademark, well-known brand, or established business
  • The name impersonates or falsely suggests affiliation with a real-world entity, public figure, or organization
  • The name was registered in bad faith, including but not limited to cybersquatting, typosquatting, or handle hoarding
  • A legitimate rights holder submits a valid claim for the name
  • The name violates any applicable law or regulation in any jurisdiction where the Service operates
  • The name is deemed offensive, harmful, or inappropriate in any of the languages or cultures where the Service is available

In such cases, we may reassign the name to the legitimate rights holder or require you to select a new name. You will not be entitled to compensation for any reclaimed name. We may, at our discretion, offer reasonable assistance in selecting an alternative name.

5.3 Trademark Claims

If you believe a username or merchant handle infringes your trademark rights, you may submit a claim to support@regaiaonline.com with documentation of your trademark registration and the name in question. We will review all claims in good faith and respond within a reasonable timeframe.

5.4 Inactive Name Policy

We reserve the right to release usernames and merchant handles associated with accounts that have been inactive for an extended period, to ensure fair availability of names for active users.

6. User Conduct

You agree not to:

  • Use the Service for any unlawful purpose
  • Harass, abuse, or harm other users or merchants
  • Impersonate any person or entity
  • Use cheats, exploits, automation software, GPS spoofing, or any unauthorized third-party software
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Interfere with or disrupt the Service or servers
  • Buy, sell, or trade accounts or virtual items outside of official in-app mechanisms
  • Use the Service while operating a vehicle or in any situation where use might be dangerous
  • Manipulate or exploit game mechanics, including but not limited to artificially inflating check-ins, quest completions, or marketplace transactions
  • Create multiple accounts to circumvent restrictions, hoard items, or manipulate the economy
  • Use the Party or social features to distribute spam, offensive content, or unsolicited commercial messages

7. Merchant Terms

7.1 Merchant Accounts

Users who register as Merchants gain access to business tools including storefront creation, item minting, quest design, gacha machine configuration, stamp card loyalty programs, analytics, and branch/kiosk management. By registering as a Merchant, you agree to the following additional terms.

7.2 Merchant Obligations

As a Merchant, you represent and warrant that:

  • You are authorized to represent the business you register on the platform
  • All business information you provide (name, address, description) is accurate and up to date
  • You will honor all coupons, offers, and rewards you create and distribute through the Service, in accordance with their stated terms
  • All items, quests, and promotional content you create comply with applicable laws and do not contain misleading, fraudulent, or illegal content
  • You will not use the platform to promote illegal goods, services, or activities
  • You will not use player data or analytics provided through the Service for purposes other than improving your own customer engagement on the platform

7.3 Merchant Content Responsibility

Merchants are solely responsible for the content they create on the platform, including item descriptions, quest objectives, coupon terms, badge names, and banner images. We reserve the right to remove or modify any merchant content that violates these Terms, applicable laws, or our community standards, without prior notice.

7.4 Coupon and Offer Fulfillment

Re:Gaia Online acts as a platform for merchants to distribute digital coupons and offers. The merchant is solely responsible for honoring and fulfilling any offers they create. Re:Gaia Online is not a party to the transaction between merchant and customer and bears no liability for a merchant's failure to honor their offers.

7.5 Branch Devices and Staff Access

Merchants who deploy branch/kiosk devices are responsible for ensuring that only authorized staff members access the branch interface, that branch credentials are kept secure, and that branch operations (stamp issuance, coupon redemption, item distribution) are conducted accurately and in good faith.

8. Purchases and Payments

8.1 In-App Purchases

The Service offers optional one-time in-app purchases, including but not limited to Gold currency packs (for Players) and merchant tier upgrades (for Merchants). All purchases are one-time transactions and are not automatically recurring. You may make additional purchases at any time at your discretion.

8.2 Merchant Tier Purchases

Merchants may purchase tier upgrades to unlock additional features, higher item minting quotas, more branch slots, and access to higher rarity tiers. Each tier purchase is a one-time transaction. Tier benefits remain active as described at the time of purchase.

8.3 Payment Processing

All in-app purchases are processed through the Apple App Store or Google Play Store. All billing is subject to the terms and policies of the respective platform.

8.4 Refunds

All purchases are final and non-refundable, except as required by applicable law or the refund policies of the Apple App Store or Google Play Store.

9. Virtual Items and Currency

9.1 Ownership

All virtual items, currency (Gold and Silver), and other digital content within the Service are owned by Re:Gaia Online and are licensed to you on a limited, non-exclusive, non-transferable, revocable basis. Your license to virtual items may be terminated upon account suspension, termination, or discontinuation of the Service.

9.2 Gold Currency

Gold is a premium virtual currency that can be purchased with real money through in-app purchases. Gold can be used in the Official Shop and for gifting to other players.

9.3 Silver Currency

Silver is an earned virtual currency obtained through gameplay activities such as achievements, quest completions, and marketplace sales. Silver cannot be purchased with real money.

9.4 No Real-World Value

Virtual items and currencies (both Gold and Silver) have no real-world monetary value and cannot be exchanged for real money, real goods, or real services outside of the Service's designated features (such as merchant coupons redeemable at participating locations). You may not sell, trade, or transfer virtual items or currency outside of the in-app marketplace.

10. Marketplace and Trading

10.1 Player-to-Player Marketplace

The Service includes a player-to-player marketplace where users may list, buy, and sell eligible virtual items using in-game currency. Re:Gaia Online provides the platform for these transactions but is not a party to any trade between players.

10.2 Marketplace Rules

You agree not to:

  • Manipulate marketplace prices through artificial means, including shill bidding, wash trading, or coordinated price fixing
  • Use bots, scripts, or automation to gain unfair advantage in marketplace transactions
  • List items with misleading descriptions or fraudulent intent

10.3 Disputes

All marketplace transactions are final once completed. We are not responsible for resolving disputes between players regarding marketplace transactions, though we reserve the right to intervene in cases of fraud, exploitation, or Terms violations.

11. Gacha and Randomized Content

11.1 Random Reward Mechanisms

The Service includes gacha machines and similar mechanics that provide randomized virtual items in exchange for in-game currency (Silver). These mechanics involve elements of chance and do not guarantee any specific outcome or item.

11.2 Drop Rate Disclosure

Drop rates for each rarity tier are disclosed within the Service. The approximate standard rates are: Common (50%), Uncommon (30%), Rare (15%), Epic (4%), Legendary (0.9%), Mythic (0.1%). Individual merchant gacha machines operate within these parameters based on their available item pool.

11.3 No Guaranteed Outcomes

Displayed drop rates represent statistical probabilities and do not guarantee that you will receive any specific item within any number of pulls. Each pull is an independent random event.

11.4 Spending Responsibility

You are solely responsible for managing your in-game currency spending on gacha pulls. Gacha pulls consume Silver (earned currency only, not purchasable with real money). If you feel you are having difficulty controlling your engagement, please contact us or adjust your device's parental controls.

12. Location-Based Services

The Service uses location-based features including GPS check-ins, merchant discovery, and geographically-relevant marketplace listings. By using the Service, you:

  • Consent to the collection and use of your location data as described in our Privacy Policy
  • Agree to respect private property, restricted areas, and local laws while using location features
  • Acknowledge that you are solely responsible for your own safety while using location features
  • Agree not to access locations that are dangerous, restricted, or require trespassing
  • Understand that location accuracy may vary and that the Service does not guarantee precise positioning
  • Agree not to spoof, falsify, or artificially manipulate your GPS location

13. Intellectual Property

All content, trademarks, and intellectual property within the Service — including but not limited to the Re:Gaia Online name, logo, UI design, game mechanics, rarity system, and ranking system — are owned by Re:Gaia Online or its licensors. You may not copy, modify, distribute, or create derivative works without our express written permission.

14. User-Generated and Merchant-Generated Content

14.1 Player Content

You retain ownership of content you create within the Service (such as party posts and profile information), but you grant us a worldwide, royalty-free, sublicensable license to use, display, and distribute such content in connection with the Service.

14.2 Merchant Content

Merchants retain ownership of their original content (logos, banner images, item descriptions) but grant us a worldwide, royalty-free, sublicensable license to use, display, reproduce, and distribute such content in connection with the Service, including for promotional purposes. This license survives account termination for content already distributed to players.

14.3 Content Removal

We reserve the right to remove any user-generated or merchant-generated content that violates these Terms, applicable laws, or our community standards, without prior notice or obligation to preserve removed content.

15. Third-Party Services

The Service integrates with third-party services including but not limited to Apple App Store, Google Play Store, payment processors, and cloud infrastructure providers. We are not responsible for the content, privacy practices, or terms of any third-party services. Your use of third-party services is governed by their respective terms.

16. Service Availability and Modifications

16.1 Availability

We strive to maintain continuous availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

16.2 Modifications

We reserve the right to modify, update, or discontinue any feature of the Service at any time, including but not limited to game mechanics, item properties, currency values, quest systems, achievement requirements, and marketplace functionality. We will provide reasonable notice of significant changes where practicable.

16.3 Effect on Virtual Items

Modifications to the Service may affect the availability, functionality, or perceived value of virtual items and currencies. You acknowledge that virtual items and currencies may be modified, rebalanced, or removed as part of normal Service operations, and you are not entitled to compensation for such changes.

17. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE MAKE NO WARRANTY REGARDING THE ACCURACY OF LOCATION DATA, MERCHANT INFORMATION, OR THE QUALITY OF GOODS OR SERVICES OFFERED BY MERCHANTS ON THE PLATFORM.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RE:GAIA ONLINE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO: LOSS OF VIRTUAL ITEMS OR CURRENCY, MERCHANT FAILURE TO HONOR OFFERS, PHYSICAL INJURY OR PROPERTY DAMAGE RELATED TO LOCATION-BASED FEATURES, OR UNAUTHORIZED ACCESS TO YOUR ACCOUNT.

19. Indemnification

You agree to indemnify and hold harmless Re:Gaia Online, its officers, directors, employees, and agents from any claims, damages, or expenses arising from: your use of the Service, your violation of these Terms, your user-generated or merchant-generated content, or your infringement of any third-party rights.

20. Dispute Resolution

20.1 Informal Resolution

Before filing any formal claim, you agree to first contact us at support@regaiaonline.com and attempt to resolve the dispute informally for at least 30 days.

20.2 Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles.

21. Changes to Terms

We may modify these Terms at any time. We will notify you of significant changes through the Service, by email, or via push notification. Your continued use of the Service after changes constitutes acceptance of the modified Terms. If you do not agree with the changes, you must stop using the Service.

22. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
